Welcome to VELVET. These Terms & Conditions ("Terms") govern your use of our website, platform, and services (together, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

All content, branding, design, software, and materials on the Platform are owned by VELVET or our licensors. You must not copy, modify, or use our intellectual property without written permission.

5. User Content

By posting, uploading, or sharing content on the Platform ("User Content"), you:

• retain ownership of your content,
• grant VELVET a worldwide, royalty-free, transferable licence to use, reproduce, modify, distribute, display, and communicate your content to operate and promote the Platform, and
• waive any "moral rights" you may have, meaning you agree not to assert rights against us for adapting or using your content.

You are solely responsible for your User Content. VELVET may remove or disable access to content that breaches these Terms or the law.

6. Prohibited Conduct

You must not use the Platform to:

• engage in unlawful, harmful, or fraudulent activity,
• harass, threaten, or abuse others,
• post defamatory, obscene, or misleading content,
• disrupt, interfere with, or harm the Platform or its users,
• impersonate another person or misrepresent your affiliation, or
• violate any laws or third-party rights.

7. Availability & Accessibility

We aim to keep the Platform available, but do not guarantee uninterrupted or error-free access. We may suspend, modify, or discontinue the Platform (in whole or part) without notice.

9. Disclaimer of Warranties

Where liability cannot be excluded, it is limited to the lesser of: (a) the re-supply of the services; or (b) the amount you paid to use the Platform (if any).

You agree to indemnify and hold harmless VELVET from claims, damages, liabilities, costs, or expenses arising from your:

• use of the Platform,
• User Content, or
• breach of these Terms or applicable law.

12. Breach & Termination

We may, at our discretion and without notice, suspend, restrict, or terminate your access to the Platform if you breach these Terms, misuse the Platform, or act in a way that harms VELVET or other users.

You may stop using the Platform at any time.

13. Assignment

You may not assign, transfer, or sublicense your rights or obligations under these Terms. VELVET may assign or transfer its rights without restriction.

14. Waiver

Our failure to enforce any part of these Terms is not a waiver of our rights. Any waiver must be in writing.

15. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in effect.

16. Changes to These Terms

We may update these Terms at any time. Updates take effect when published on the Platform. By continuing to use the Platform, you accept the updated Terms.

17. Governing Law

These Terms are governed by the laws of New South Wales, Australia. If you access the Platform outside Australia, you are responsible for compliance with local laws.
